How to Open a Company in Saudi Arabia from the UAE

Short answer: a UAE company can own 100% of a Saudi company in most activities. It registers the investment with the Ministry of Investment (MISA), obtains a commercial registration, and then completes tax, labour and municipal registrations. The longest part is usually preparing and legalising the UAE company's documents, so start there.

This guide is for UAE mainland and free zone companies, and for owners based in the UAE, who want to open a Saudi subsidiary or branch. It explains the route, the documents, the order of the steps and the mistakes we see most often.

1. Choose the right structure

Most UAE companies entering Saudi Arabia choose one of three routes:

  • A Saudi limited liability company (LLC) owned by the UAE company. The most common choice. The Saudi company is a separate legal entity, which limits the parent's liability.
  • A branch of the UAE company. No separate legal entity; the parent company is directly responsible for the branch's obligations.
  • A regional headquarters (RHQ). For groups that will manage regional operations from Riyadh, under a separate programme with its own conditions and incentives.

UAE nationals are GCC citizens and, for many activities, can register a business through the Ministry of Commerce in a similar way to Saudi nationals. This guide covers the more common case of a UAE-registered company or a non-GCC owner investing through MISA.

2. Check that your activity is open to foreign ownership

Most activities allow 100% foreign ownership with MISA registration, but some are restricted, need a Saudi partner, or need a sector licence before MISA will register them. Confirm your activity codes before you prepare any documents; a mismatch between the activity and the documents is the most common reason files are returned.

3. Prepare and legalise the UAE company documents

MISA's requirements depend on the investor type, but a UAE company should expect to provide:

  • The UAE trade licence or commercial registration, and for free zone companies the free zone certificate of incorporation
  • The memorandum and articles of association
  • The latest audited financial statements
  • A board or shareholder resolution approving the Saudi investment and appointing the manager
  • A power of attorney for the person who will complete the procedures in Saudi Arabia
  • Passport copies of the shareholders' representatives and the manager

The UAE is not a party to the Hague Apostille Convention, so UAE documents cannot simply be apostilled. They normally go through a legalisation chain: notarisation in the UAE, attestation by the UAE Ministry of Foreign Affairs, and legalisation by the Saudi Embassy in Abu Dhabi or the Saudi Consulate in Dubai. Documents then need a certified Arabic translation. Confirm the current chain before you start, because this step alone can take several weeks.

4. Register with MISA and form the company

  1. MISA investment registration through the Ministry of Investment e-services. MISA states a processing time of up to 10 working days once the file is complete.
  2. Trade name reservation and commercial registration (CR) through the Saudi Business Center.
  3. Articles of association for the Saudi company, prepared and registered.
  4. Chamber of Commerce membership in the city where you register.
  5. ZATCA registration for Zakat, income tax and, once you pass the threshold, VAT.
  6. Government portals: Qiwa, GOSI, Muqeem and Mudad, so you can hire staff and pay salaries.
  7. Municipal licence for your premises through Balady.
  8. Corporate bank account with a Saudi bank.

5. Plan for the differences from the UAE

  • Tax: Saudi VAT is 15%, compared with 5% in the UAE. The share of profits attributable to non-GCC foreign shareholders is subject to 20% corporate income tax, while Saudi and GCC-owned shares are generally subject to Zakat.
  • Saudization: your Nitaqat band decides how many work visas you can obtain, so plan Saudi hires from the start.
  • Premises: in most cases you need a real commercial address in Saudi Arabia for the CR and municipal licence.
  • Language: official documents and contracts are read in Arabic.

6. Mistakes we see most often

  • Starting the Saudi application before the UAE documents are legalised
  • Choosing activity codes that do not match the UAE licence or the real business
  • Underestimating the time needed for the bank account
  • Hiring before checking the visa quota under Nitaqat

Frequently asked questions

Can a UAE free zone company own a Saudi company? Yes, a free zone company can be the shareholder of a Saudi company, provided its documents are legalised and its activity is eligible.

Do I need to live in Saudi Arabia? No, but the company needs a manager, and someone will need to be present in Saudi Arabia for the bank account and some government steps.

How long does it take? MISA registration takes up to 10 working days once complete; the total, including legalisation in the UAE, licences and the bank, is usually counted in weeks to a few months.
