Investor Readiness Checklist for Saudi Arabia 2026

A practical preparation guide for foreign investors establishing or expanding a business in the Kingdom.

Who should use this checklist?

International companies, overseas business owners and prospective investors assessing a Saudi market entry, a new entity, an acquisition or an expansion. Use it to define your project, identify the right route and prepare the information needed for the applicable procedures.

How to use it

Work through Sections 1-8, then complete the assessment in Section 9. Tick a preparation item only when you have evidence or a named next action. For a regulatory item, retain the official source and the date you checked it. Record items that do not apply, with the reason, in the assessment notes.

Label

Meaning

OFFICIAL

Confirmed rule or requirement, limited to the stated scope.

CONDITIONAL

Official requirement that applies only to a particular investor, activity or route.

PREPARE

Recommended planning step; not a universal filing requirement.

VERIFY

Check how the current requirements apply to your project.

1.Investor profile and objectives

[ ] PREPARE Write a one-paragraph project description: what you will sell or deliver, who will buy it and what will be done inside Saudi            Arabia.

CONDITIONAL Identify the applicable route for a legal entity, foreign company or Premium Residency holder. Wholly GCC-owned companies are treated differently from GCC companies with foreign ownership. Confirm your route before treating a personal passport or GCC incorporation as sufficient.

[ ]  PREPARE Identify the applicant: foreign company, another legal entity, GCC investor, Premium Residency holder or a proposed                 special-category applicant. Record nationality, residence and the ownership chain.

[ ]  PREPARE Choose your intended presence: a new Saudi entity, a foreign-company branch, investment in an existing business or an           amendment to an existing operation. Compare liability, governance and contracting needs with an adviser.

[ ]  PREPARE Set measurable entry objectives: target customers, launch milestones, intended investment size and the person responsible for decisions.

[ ]  PREPARE For an expansion or acquisition, list existing Saudi registrations, activities, shareholders and permits; identify what the proposed change affects.

2.Saudi market readiness

[ ]  PREPARE Collect evidence of demand from customer interviews, enquiries, tender requirements or pilot sales. Separate confirmed           demand from a broad market-growth assumption.

[ ]  PREPARE Compare competitors on price, service, distribution and payment terms. Explain why a Saudi buyer would switch to your offer.

[ ]  PREPARE Shortlist a city and premises based on customers, logistics, labour and operating costs. Ask whether the site can support the intended activity before committing to a lease.

[ ]  PREPARE Map fulfilment: suppliers, import needs, inventory, delivery, installation, customer support and Arabic-language service where relevant.

Your output: a short market-entry brief with dated evidence, a location shortlist, expected sales channels and a realistic operating model. Identify assumptions that must be tested before spending.

[ ]  PREPARE Test your route to revenue: local sales, distributor, online channel or contracts. For tenders, obtain the actual procurement         and supplier-qualification rules; registration alone does not establish tender eligibility.

3.Business activity and ownership

OFFICIAL Foreign investors must register with MISA before investment where the registration requirement applies; investments in securities governed by the Capital Market Law are excepted. Apply through MISA for approval before investing in an excluded activity or changing ownership in a restricted activity; MISA refers the application to the competent authority.

CONDITIONAL Ownership and capital conditions vary by activity.

For detailed guidance on investment registration, activity restrictions and ownership conditions, refer to the official MISA Investor Guide.

[ ]  PREPARE List each intended revenue-generating activity and match it to the relevant official activity description/code. MISA uses             ISIC4 activity classification.

[ ]  VERIFY Ask MISA whether each activity is available, restricted or prohibited for the proposed investor. Obtain the applicable                       conditions and any sector-regulator approval route.

[ ]  VERIFY Record the proposed shareholding and controlling owners. Confirm whether your chosen activity permits the proposed foreign ownership or requires Saudi participation.

[ ]  VERIFY Check whether professional credentials, experience, overseas presence or other category conditions apply. Do not assume a trading, service or professional route is interchangeable.

[ ]  PREPARE Agree management powers, funding duties, profit distribution, deadlock and exit arrangements with partners. Obtain advice before signing the ownership agreement.

4.Financial readiness

Plan commercial funding separately from any activity-specific regulatory capital. There is no single capital figure in this resource for all investors.

[ ]  PREPARE Prepare a setup budget: official charges, advisers, document authentication, premises deposits, fit-out, equipment, technology and launch costs. Use current quotes.

[ ]  PREPARE Build monthly cash-flow forecasts through launch and stabilisation. Include payroll, recruitment, rent, insurance, inventory, tax cash flows and delayed customer collections.

[ ]  PREPARE Identify committed funding, its provider, timing and evidence. Separate paid equity, shareholder loans and proposed borrowing; ask how each is treated for your route.

[ ]  PREPARE Stress-test a delayed opening, slower sales, lower margins and longer receivables. Set a contingency reserve and a point at which the project will be paused.

Decision before proceeding: Is the business affordable under the downside case, and can you fund both the verified regulatory conditions and the cash needed to operate?

[ ]  PREPARE Prepare your banking questions: account-opening documents, signatories, ownership evidence and fund-transfer support.        Confirm the bank’s requirements directly.

5.Documents to prepare

Use the official rows only where their stated scope applies. The preparation file is broader than a MISA application. Requirements may change with investor category, originating country, legal structure and activity.

Document / information

Classification and scope

Foreign establishment’s commercial register

CONDITIONAL Required for the participating foreign establishment; Saudi Embassy certification specified.

Foreign company’s financial statements

CONDITIONAL Last fiscal year; Saudi Embassy authentication specified for the foreign company applying.

GCC individual partner’s identity document

CONDITIONAL Required if that partner’s information is not registered in Absher.

Activity / special-category evidence

CONDITIONAL Supply applicable Section 5 evidence; entrepreneurial registration has distinct supporting-document requirements.

Premium Residency evidence

CONDITIONAL Premium Residency holders are exempt from submitting the foreign commercial register and financial statements. Confirm the exemption’s scope, including any GCC partner ID requirement, and the residency evidence needed for your application.

Passports / IDs; ownership chart; shareholder register

PREPARE Gather current records linking direct shareholders to ultimate controlling individuals. Confirm which must be filed for your route.

Constitutional records; board decisions; representative authority

PREPARE Gather articles, proposed Saudi structure, authorised signatory details and powers of attorney where relevant. Check formation and representation requirements.

Project brief; forecast; funding evidence

PREPARE Keep a business plan, cash forecast and evidence of funding available. These are not presented as universal MISA attachments.

VERIFY translation and authentication separately. Confirm translation and authentication requirements for your selected service and receiving authority. Certified translations are required for the specified documents under the non-Saudi company real-estate ownership registration service. Do not assume the same language requirements apply to every route.

[ ]  PREPARE Create a document register: issuing country, legal name, issue/expiry date, certification required, translation required, responsible person and completion date.

[ ]  VERIFY Reconcile names, registration numbers and ownership percentages across every document. Ask MISA what alternative evidence is acceptable if a requested record is unavailable.

File-control tip: keep original scans and certified/translated versions in separate folders. Record why a conditional document does not apply; do not silently omit it.

6.Investment registration and applicable approvals

OFFICIAL Investment registration, commercial registration and other required licences are separate stages. Completing one stage does not authorise every business operation.

[ ]  VERIFY Confirm the applicant category, activity conditions and supporting approvals with MISA before selecting the service.

[ ]  PREPARE Use the Invest Saudi application portal. Check the live form, attachment rules and declarations for your investor category and activity.

[ ]  PREPARE Compile a route-specific submission list, enter consistent information and retain a copy of the submitted application and correspondence.

[ ]  VERIFY Confirm charges, the payment deadline and additional requests with MISA. Published payment instructions contain differing deadlines; obtain written instructions for your application. Allow for corrections and approvals.

Before submission: confirm the required documents and activity conditions for your chosen route. Keep the authority’s written instructions with your application file.

[ ]  VERIFY For existing operations, ask whether an activity, ownership or entity-data amendment is needed rather than a new                         application.

7.Company formation and post-registration

[ ]  VERIFY Select the applicable Ministry of Commerce / Saudi Business Center formation or branch route. Confirm constitutional documents, representatives, trade name and commercial registration steps.

[ ]  VERIFY Build an approval map for the activity and site: sector regulator, municipal permissions, safety, environmental, product or import approvals where applicable. Confirm the sequence before operations.

OFFICIAL After Ministry of Commerce registration, a tax identification number (TIN) is generated. Complete the applicable tax registration through the ZATCA portal.

[ ]   VERIFY Review income tax, Zakat, VAT, withholding and related-party transactions with a tax adviser. Determine which apply to your ownership and transactions; budget for recordkeeping and returns.

[ ]   PREPARE Ask your tax adviser to assess VAT registration. Review ZATCA e-invoicing scope and integration requirements before choosing accounting software.

[ ]  VERIFY Plan HRSD/Qiwa access, employment contracts, Saudization, work/residence permissions, wage protection and GOSI arrangements as applicable. Saudization calculations depend on staffing/activity; Saudi employees’ contracts must be documented through Qiwa for inclusion in Nitaqat rates.

PREPARE Assign owners for banking, the business address, premises, accounting and other applicable registrations. Confirm activation; do not assume automatic data sharing completes every obligation.

8.Risk and compliance preparation

[ ]  PREPARE Assign an owner and calendar for approvals and MISA annual updates. Keep consistent financial and ownership records; check ongoing duties with the authorities.

[ ]  PREPARE Review acquisition/partner liabilities and disputes; obtain advice on unresolved legal, tax, sector, data, IP and import issues.

9.Final readiness assessment

Tick one status per row. In the notes, record evidence, the next action, owner and due date. A completed verification means the answer is documented; it does not mean a pending permit has been granted.

Assessment: Proceed to application preparation when the investor route, activity/ownership conditions, funding and filing evidence are confirmed. Pause affected commitments where an approval, required document or funding gap remains unresolved. Before trading, separately confirm commercial registration and operating permissions.

This is a planning assessment, not an official eligibility decision.

10.Next steps and useful resources

[ ]  PREPARE Turn every unfinished assessment row into an action with an owner and target date. Resolve activity/ownership and applicant-route questions first.

[ ]  PREPARE Recheck the official service and relevant regulator immediately before submission. Keep dated copies of the applicable requirements and written clarifications.

[ ]  PREPARE Arrange a scoped review of the proposed structure, documents, budget and approval sequence. Agree who will submit, monitor and respond to each authority.
