MISA Licensing Guide for Saudi Arabia

Introduction

The updated Saudi Investment Law replaced investment licensing procedures with registration. “MISA licensing” remains the title of this resource for familiarity; the current process described here is investment registration. A foreign investor must register before investing, except for securities investments governed by the Capital Market Law.

Registration, Commercial Registration (CR) and operating licences are separate. After notification of completed investment registration, investors can proceed to CR and the necessary licences from other authorities.

 

Eligibility and requirements

Investment registration is available to legal entities, foreign companies and individuals holding Premium Residency. GCC citizens and companies fully owned by them follow the Ministry of Commerce route; foreign ownership within a GCC company changes its treatment.

Local-partner requirements depend on the activity. Some activities permit investment without a local partner. Check activity-specific capital and Saudi participation conditions.

For an activity on the excluded list, the investor must first apply to MISA for approval; MISA refers the application to the competent authority. An investor must obtain approval before changing ownership in a restricted activity.

Before choosing a route, record your applicant category, full ownership chain and exact proposed activities. Use these details when asking MISA which conditions apply. This is preparation advice, not an eligibility decision.

Special Residency Permit holders are exempt from the standard service’s registration-record, GCC identity and financial-statement requirements.

Documents submitted for general investment registration do not need translation. The separate property-ownership service specifies translated documents. Other authorities may also require translated documents. Check the applicable service requirements before submission.

Application process

1. Confirm the applicant route and activity conditions using the eligibility and document sections above.

2. Review the required documents and submit electronically through the official investment registration portal. A headquarters visit is not required.

3. Supply registration information and affirm MISA’s declarations, including the validity of submitted information and documents. MISA may request additional material if information is insufficient or incorrect.

4. Respond to any request for missing information within the period notified by MISA. Failure to respond within that period cancels the application.

5. Address the notified registration charge on approval, then retain the notification of completed registration before proceeding to CR and required licences.

Steps after registration

Complete company formation and CR through the applicable official service, followed by required licences from competent authorities.

For businesses covered by corporate income tax registration, a Tax Identification Number is generated after Ministry of Commerce registration; the taxpayer completes registration through ZATCA’s portal. Confirm the applicable income-tax and Zakat treatment with ZATCA for the company’s ownership structure.

Where Zakat registration applies, complete it after Ministry of Commerce registration and TIN generation.

VAT has a separate registration service for companies conducting VAT-subject economic activity and meeting the relevant registration criteria.

Registered investors must submit annual declaration updates, including changes to registered information.
